Terms and Conditions of Sale
These terms apply to quotations for, and the sale and supply of, equipment and software licences by Hanxing ("we", "us", "our"), Guangzhou, China, to a business customer ("you", "buyer"). Where an order confirmation or a signed contract states different terms, that document prevails over this page.
1. Quotations
Quotations are prepared for the configuration and quantity described in them and are valid for the period stated on the quotation. Model numbers, options and lead times are quoted against the datasheet current at the time of the quotation; we tell you in writing if a datasheet changes before shipment.
2. Orders and order confirmation
An order becomes binding when we issue a written order confirmation (or proforma invoice) and you accept it. The order confirmation states the models, quantities, unit prices, currency, payment schedule, Incoterms and the delivery window; it is the reference document for the shipment.
3. Prices, taxes and payment
Prices are stated in the currency of the quotation and, unless stated otherwise, do not include import duties, taxes or charges levied in the destination country. The payment schedule is the one in the order confirmation. Unless agreed otherwise in writing, bank charges outside China are for the buyer's account. We may suspend production or shipment while an invoice is overdue.
4. Delivery, Incoterms and risk
The Incoterms® 2020 rule and the named place or port are stated in the order confirmation. Lead time is counted from receipt of the agreed payment and confirmation of the technical details. Risk in the goods passes as provided by that Incoterm. Where you ask us to arrange carriage, we do so as your agent and the contract of carriage is between you and the carrier.
5. Inspection, shortages and transit damage
Inspect the shipment as soon as it arrives and before installation. Report any shortage or visible transit damage to us in writing as soon as it is discovered, with photographs of the packaging and the equipment, and with the carrier's damage report where one was raised. Claims for damage that occurred in transit are pursued against the carrier, and we assist with the documentation.
6. Warranty
Equipment is warranted against manufacturing defects for the period stated in the order confirmation, counted from delivery. The warranty covers repair or replacement of the defective unit or its faulty parts, at our option. It does not cover transit damage, incorrect installation or power supply, misuse, unauthorised repair, modification or firmware, consumables and wear parts, or damage from lightning, humidity, water or other events outside our control. Warranty service requires the order number and the unit serial number.
7. Returns, DOA and RMA
Do not return equipment without a return authorisation. Contact us with the order number, serial number, a description of the fault and photographs or a short video; we reply with an RMA number and the return or replacement instructions. Dead-on-arrival units are handled under the same procedure as warranty claims. See Warranty and Returns for the step-by-step process.
8. Custom, OEM and ODM orders
For custom branding, modified specifications, software configuration or custom packaging, the approved specification sheet or artwork is the reference for production. Minimum quantities, tooling or certification costs and lead time are stated in the quotation for that build. Approved custom builds cannot be cancelled once production has started.
9. Title
Title to the equipment passes to the buyer on payment in full, or earlier if the applicable law provides that title passes on delivery. Until title passes, the buyer holds the equipment as bailee and identifies it as our property.
10. Force majeure
Neither party is liable for delay or failure caused by events outside its reasonable control, including natural events, epidemics, war, civil disruption, strikes, transport or customs interruptions, shortages of components, and acts of government. The affected party notifies the other and the delivery window is extended accordingly.
11. Intellectual property
All product designs, firmware, documentation and trademarks remain our property or that of our licensors. Datasheets and manuals may be used to evaluate, specify and operate the equipment you buy. They may not be republished as your own material or attributed to another manufacturer.
12. Limitation of liability
Our liability for a claim relating to an order is limited to the value of the equipment supplied under that order. We are not liable for loss of profit, loss of broadcasting time or audience, loss of data, or indirect or consequential loss. Nothing in these terms excludes liability that cannot be excluded by law.
13. Governing law and disputes
These terms are governed by the laws of the People's Republic of China. The parties first try to settle any dispute through discussion between the responsible managers; if that does not resolve it, the dispute is submitted to the competent court in Guangzhou, China.
14. Changes to these terms
We may update these terms; the version published here at the time of your order, together with the order confirmation, applies to that order. The date at the top of this page shows when it was last revised.
